FFC Joins Arif Habib Consortium to Acquire 100% Stake in PIA

Fauji Fertilizer Company Limited has officially joined a consortium led by Arif Habib Corporation Limited to acquire full ownership of Pakistan International Airlines. The move marks a significant development in Pakistan’s ongoing efforts to restructure and privatize its national carrier.

The consortium has established a special purpose vehicle named PIA Equity Limited, which will serve as the central entity for executing the transaction and overseeing future operations. This structure is designed to streamline the acquisition process while ensuring efficient management post-takeover.

In addition to FFC and Arif Habib Corporation, the consortium includes Fatima Fertilizer Company Limited, Lake City Holdings, AKD Group, and The City School Group. The diverse composition of investors reflects a blend of institutional strength and private sector expertise.

The proposed acquisition aims to transfer 100 percent ownership of PIA to the consortium, potentially paving the way for operational reforms and financial restructuring. Industry observers view this as a critical step toward improving the airline’s performance, which has faced long-standing financial and operational challenges.

By bringing together experienced corporate players, the consortium is expected to introduce improved governance, strategic direction, and investment into the airline. The involvement of major business groups could also enhance confidence among stakeholders and support the airline’s turnaround efforts.

The establishment of PIA Equity Limited highlights a structured approach to privatization, ensuring that both the transaction and future management are handled through a dedicated entity. This model is often used in large-scale acquisitions to maintain clarity and accountability.

If completed successfully, the takeover could mark a turning point for Pakistan International Airlines, positioning it for modernization and sustainable growth in an increasingly competitive aviation market.
