CCP Approves Lotte Group Restructuring with No Impact on Pakistan’s Food and Beverage Market

The Competition Commission of Pakistan (CCP) has granted approval for an internal corporate restructuring within South Korea’s Lotte Group after concluding that the transaction will not reduce competition in Pakistan’s food and beverage industry.

The approval follows a detailed review conducted under the Competition Act, 2010, which requires regulatory clearance for mergers and acquisitions that may affect businesses operating in Pakistan.

As part of the restructuring, Japan-based Lotte Co., Ltd. will acquire shares in Lotte Confectionery (S.E.A.) Pte. Ltd., a Singapore-based company, from Lotte Wellfood Co., Ltd. The transaction is an internal reorganization within the global Lotte Group and does not involve the entry of a new market participant.

The deal attracted the attention of Pakistan’s competition regulator because the Singapore-based entity holds ownership interests in Lotte Kolson and Lotte Akhtar Beverages, two established companies operating in Pakistan’s food and beverage sector.

Following its assessment, the CCP determined that the restructuring would not alter the competitive landscape of the local market. Since the ownership change remains within the same corporate group, the regulator concluded that there would be no significant impact on consumers, market competition, or business operations in Pakistan.

The decision highlights the CCP’s role in reviewing corporate transactions to ensure they comply with competition laws while protecting fair market practices. Regulatory approval is a key requirement for mergers, acquisitions, and restructurings involving businesses that have operations or investments in Pakistan.

Industry experts note that internal corporate reorganizations are commonly undertaken by multinational companies to streamline operations, improve governance, or align business structures with long-term strategic objectives. Such transactions generally do not affect product availability, pricing, or competition when control remains within the same corporate group.

For Pakistan’s food and beverage industry, the approval provides certainty that the restructuring will proceed without disrupting the operations of Lotte Kolson and Lotte Akhtar Beverages. Consumers and business partners are expected to see no changes in the companies’ day-to-day activities as a result of the ownership transfer.

The CCP’s clearance reinforces Pakistan’s commitment to maintaining a transparent regulatory framework that supports investment while ensuring that corporate transactions do not harm competition or consumer interests.
